Terms of Service

• "Booking" means a reservation made by a Shopper for a service offered by a Service Specialist.
• "Content" means any text, photo, review, rating, message, listing, gallery item, or other material submitted to the Platform.
• "Organization" means a business account under which one or more Service Specialists operate.
• "Platform" has the meaning given above.
• "Services" means the professional services offered by Service Specialists through the Platform.
• "Shopper" means an individual who books a Service.
• "Service Specialist" means an individual or Organization offering Services through the Platform.

Tobinrin operates a marketplace that facilitates discovery, bookings, and payments between independent Service Specialists and Shoppers. We are not a party to any service contract between a Shopper and a Service Specialist. Service Specialists are independent contractors and not employees, agents, partners, or franchisees of Tobinrin. We do not perform, supervise, warrant, or guarantee the quality, safety, legality, or suitability of any Service, and we are not responsible for the acts or omissions of any Service Specialist or Shopper. Any contract for Services is formed directly between the Shopper and the Service Specialist.

You must be at least eighteen (18) years old, or the age of majority in your jurisdiction, whichever is higher, and able to enter into a binding contract. You must not be subject to any applicable sanctions or be barred from using the Platform under applicable law. We may require you to verify your age, identity, or authority at any time and may decline, suspend, or terminate your account if you do not meet these requirements.

To use most features you must create an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for keeping your login credentials confidential, enabling two-factor authentication where offered, and for all activity under your account. Notify us immediately at tech@tobinrin.com of any unauthorized use. We may require email, phone, or identity verification at signup or later, and may decline to register an account or suspend it in accordance with these Terms.

If you use the Platform as a Service Specialist, you additionally represent, warrant, and agree that:

• You are legally authorized to offer the Services you list in every jurisdiction in which you operate, and you hold and will maintain all licences, permits, qualifications, and insurance required.
• Your listings are accurate, not misleading, and describe the Service, price, duration, location, and any conditions truthfully.
• Your pricing includes all taxes unless you are legally permitted to collect them separately and have configured that correctly.
• You will honour confirmed Bookings and provide Services with due care and skill.
• You will comply with your stated cancellation, refund, and no-show policies.
• You will treat Shoppers with courtesy and respect and will not discriminate on any ground prohibited by law.
• You will not attempt to take transactions off-Platform to avoid fees or our consumer protections.
• You are solely responsible for your own taxes, withholding, and regulatory compliance.
• You will handle Shoppers' personal data only to the extent necessary to deliver Services and in line with applicable data-protection laws.

Organizations are responsible for the acts and omissions of their team members.

If you use the Platform as a Shopper, you represent, warrant, and agree that:

• You will provide accurate booking information, including any relevant health or safety information requested by the Service Specialist.
• You will attend Bookings on time and conduct yourself respectfully.
• You will pay all applicable fees for Bookings you confirm.
• You will comply with the Service Specialist's reasonable house rules and safety requirements.
• You are responsible for deciding whether a Service Specialist is suitable for your needs. Tobinrin does not select, endorse, or guarantee any Service Specialist.

Service Specialists are solely responsible for their listings, including title, description, category, delivery format, duration, price, service area, availability, and any media. Prices must be displayed inclusive of all charges unless otherwise required by law. We may, but are not required to, moderate, re-categorize, or remove listings that violate these Terms or our content standards.

A Shopper initiates a Booking by selecting a Service, date, and time, and submitting payment details. A Booking becomes binding when the Service Specialist (or our system on their behalf) confirms it. At that point, a contract for the Service is formed directly between the Shopper and the Service Specialist. Tobinrin is not a party to that contract. Each party is responsible for performance of that contract; Tobinrin's responsibility is limited to operating the Platform and facilitating payment.

• Payment methods. Payments are processed through our payment processor in the currencies we support from time to time. Card payments may be stored as tokenized authorizations for future use, including cancellation charges, no-show fees, and subsequent Bookings you initiate with the same Service Specialist.
• Platform fees. Tobinrin deducts a service fee — a commission and a small processing fee — from each paid Booking. The applicable fee is shown to Service Specialists before each Booking is confirmed and is available in the Partner Dashboard.
• Payouts. Service Specialists receive payouts to their nominated account, typically within a short period after Service completion, subject to processor settlement schedules and anti-fraud holds.
• Cash payments. Where enabled by the Service Specialist, Shoppers may pay in cash at the appointment. Cash transactions are between the Shopper and the Service Specialist, and Tobinrin is not involved in collection or dispute resolution.
• Chargebacks. If a Shopper disputes a charge with their card issuer, we may deduct the disputed amount from the Service Specialist's next payout pending investigation. Fraudulent disputes are grounds for termination.
• Taxes. Each party is responsible for the taxes applicable to it. We may collect and remit taxes where required by law.

Service Specialists configure their own cancellation and refund policies within the Platform, including free-cancellation windows, tiered refunds, and optional no-show fees. The applicable policy is shown to the Shopper before payment.

• Cancellations made within a free-cancellation window receive an automatic full refund.
• Cancellations made outside that window are refunded according to the applicable policy.
• If the Service Specialist cancels a confirmed Booking, the Shopper receives a full refund.
• Where a Shopper does not attend and a no-show fee has been enabled, we may charge it to the stored payment method.
• Refunds are processed through our payment processor and may take several business days to appear.
• Where force majeure or a safety issue prevents delivery, we may, acting reasonably, issue a full or partial refund.

Shoppers may leave a rating and written review, with optional photos, after a completed Booking. Reviews must be accurate, based on personal experience, and must not contain unlawful, threatening, defamatory, hateful, obscene, discriminatory, or privacy-violating content. We may remove reviews that violate these Terms. Service Specialists must not incentivize, threaten, or pressure Shoppers to leave positive reviews or retract negative reviews, and fake or manipulated reviews are prohibited.

You retain ownership of Content you submit to the Platform. By submitting Content, you grant Tobinrin a worldwide, royalty-free, non-exclusive, sublicensable, transferable licence to host, store, reproduce, modify, create derivative works of, publish, display, and distribute that Content in connection with operating, promoting, and improving the Platform, including through search engines and marketing channels. You represent and warrant that you have all necessary rights to grant this licence and that your Content does not infringe any third-party right. This licence survives termination only to the extent necessary to retain Content in backups, comply with legal obligations, or evidence completed transactions.

You must not, and must not permit any third party to:

• Use the Platform for any unlawful, fraudulent, deceptive, harassing, abusive, discriminatory, or harmful purpose.
• Post Content that is illegal, infringing, defamatory, obscene, sexually explicit involving minors, violent, hateful, threatening, or that promotes self-harm, terrorism, or other unlawful activity.
• Impersonate any person or entity or misrepresent your affiliation.
• Upload viruses or other harmful code, or attempt to circumvent our security, rate limits, or access controls.
• Scrape, crawl, harvest, reverse engineer, or otherwise extract data from the Platform except as permitted by law or by written agreement with us.
• Use the Platform to send unsolicited communications or to promote competing services.
• Attempt to take transactions off-Platform to avoid fees, commissions, or consumer protections.
• Offer services that require licensing or regulation without holding the required authorization.
• Violate the intellectual-property, privacy, or publicity rights of any person.
• Use automated means to create accounts, bookings, reviews, or interactions except through interfaces we expressly permit.

You may report Content or users that you believe violate these Terms or applicable law through our in-Platform reporting tool. We may investigate, request additional information, and take any action we consider appropriate, including removing Content, issuing warnings, restricting features, and suspending or terminating accounts. Repeated or egregious violations will result in permanent termination.

To protect the Platform and our users, we use identity-verification, phone-verification, and fraud-prevention tools. You agree to cooperate with these checks and to provide accurate information. Failure to complete verification may result in limitations on your account, including inability to receive payouts or make Bookings.

• By you. You may terminate your account at any time by contacting support.
• By us. We may suspend or terminate your account, remove Content, or restrict features immediately if we reasonably believe you have violated these Terms or applicable law, if your continued use creates risk or liability for us or other users, or if we cease operating the Platform. Suspended or banned users may not create new accounts without our express consent.
• Effect of termination. Termination does not affect Bookings already confirmed and paid. Provisions that by their nature survive termination — including payment obligations, indemnities, disclaimers, limitations of liability, governing law, and dispute resolution — will continue to apply.

The Platform, including its software, design, logos, and brand features, is owned by Tobinrin or its licensors and is protected by copyright, trademark, and other intellectual-property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works of the Platform. All rights not expressly granted are reserved.

If you believe Content on the Platform infringes your copyright, please send a written notice to bloom@tobinrin.com including: a description of the work; the location of the allegedly infringing Content; your contact information; a statement that you have a good-faith belief that the use is not authorized; a statement, under penalty of perjury, that the information is accurate and that you are the rights-holder or authorized to act on the rights-holder's behalf; and your signature. Repeat infringers will have their accounts terminated.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, TOBINRIN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM MALICIOUS CODE; THAT LISTINGS OR REVIEWS ARE ACCURATE; OR THAT ANY SERVICE WILL MEET YOUR EXPECTATIONS. YOU USE THE PLATFORM AT YOUR OWN RISK.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TOBINRIN OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM. TOBINRIN'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF COMMISSIONS AND FEES PAID BY YOU TO TOBINRIN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU

You agree to defend, indemnify, and hold harmless Tobinrin, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your Content; (b) your use of the Platform; (c) your violation of these Terms; (d) your violation of any third-party right, including intellectual-property, privacy, or publicity rights; (e) any Services you provide or receive; and (f) your violation of any law.

The Platform relies on third-party service providers (including our payment processor and virtual-meeting platforms where applicable). Your use of those services is governed by the providers' own terms, and their availability may change from time to time. We are not responsible for third-party services.

We may add, remove, or modify features at any time. We may also update these Terms from time to time. If we make material changes, we will update the effective date and notify you through the Platform or by email. Your continued use of the Platform after the updated Terms take effect constitutes acceptance. If you do not agree, you must stop using the Platform.

These Terms are governed by the laws of Nigeria, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform shall first be addressed through good-faith negotiation. If the dispute is not resolved within thirty (30) days, it shall be finally settled by binding arbitration seated in [Seat of Arbitration] under the [Arbitration Rules] before [one/three] arbitrator(s). Each party retains the right to seek urgent equitable relief in a court of competent jurisdiction to protect its intellectual-property rights. Consumers in jurisdictions that grant non-waivable rights to local courts retain those rights. To the fullest extent permitted by law, disputes must be brought only in an individual capacity and not as part of any class, collective, or representative proceeding.

Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, pandemics, acts of war or terrorism, civil unrest, government actions, power or telecommunications failures, or failures of third-party services or infrastructure.

These Terms, together with the Privacy Policy and any additional terms referenced, constitute the entire agreement between you and Tobinrin regarding the Platform. If any provision is held invalid, the remainder will continue in full force and effect. Failure to enforce any provision is not a waiver. Section headings are for convenience only. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship.
